Varsity Messaging LLC — Terms and Conditions
Version: varsity-terms-2026-10-20-v2
Effective date: October 20, 2026
Last updated: October 20, 2026
1. Company and scope
Varsity Messaging LLC, a Delaware limited liability company (“Varsity,” “we,” “us”), operates a marketplace connecting customers with participating college athletes, cheerleaders, dancers, and verified alumni who continue after college (“Participants”). Available launch services are personalized videos, written messages, business endorsement videos and optional monthly Varsity Club memberships. Calls and gift cards are not offered. Varsity Club is governed additionally by its membership terms.
These Terms govern accounts, marketplace bookings, platform fees, permitted content use, delivery access, and platform administration. A customer purchasing for a business must have authority to act for that business. Specific endorsement arrangements remain between the Participant and business as explained below.
You agree to the applicable version through an affirmative acceptance step. We retain the version and acceptance record. A later change does not silently rewrite the agreed price, delivery scope, or usage permissions of an existing order.
2. Accounts and eligibility
You must provide accurate information, maintain current contact details, safeguard your account, and promptly report suspected unauthorized access. You may not impersonate another person, share credentials to evade controls, or create replacement accounts to evade a suspension or ban.
Account holders must be age 18 or older and able to legally enter the relevant agreements. Recipients may be minors when a competent adult purchaser has appropriate authority to provide their information and request the content. Do not provide unnecessary information about minors.
New Participants must be current members of an eligible college athletic, cheerleading, or dance program and verify their school-issued .edu email. Student-athletes must provide a link to an official school/team profile for review. Cheerleaders and dancers may leave that link blank when no official school/team page is available; Varsity must still review and approve their program affiliation and may request other reliable evidence. Public social profiles may support that review but do not automatically establish membership. Mailbox verification alone is not proof of roster membership. Varsity may request additional evidence, reject unverifiable profiles, and ask Participants to update their status after a transfer, graduation, or roster change.
A verified contact email may later replace the original contact address. The original school-verification record remains on file subject to the Privacy Policy and applicable retention requirements. Participants must not treat a verified badge as certification of every claim in their profile or of legal eligibility for a particular transaction.
Verified Participants may keep their account and audience after graduation, becoming a professional athlete or creator, entering another career, or retiring from sports. They must update their career status and may publish an optional employment summary. These updates are self-reported and do not certify employment or employer endorsement. A return to college or school transfer requires affiliation review.
3. Participant independence and institutional boundaries
Participants set their own listed prices, available services, advertised minimum video duration, availability, and weekly capacity. They may accept or decline requests and may pause new bookings. Participation is nonexclusive and does not require a signup fee or a long-term commitment.
Participants provide their own creative services; Varsity supplies marketplace infrastructure. These Terms do not authorize Varsity to make endorsement promises for a Participant or authorize a Participant to bind Varsity. Legal employment or agency status depends on applicable law and facts, not merely the terminology in these Terms.
A school name, roster link, verified profile, shared recruitment link, or depiction of a Participant does not mean a college, conference, NCAA, sponsor, or team endorses Varsity or a customer’s business. School, team, league, sponsor, and other third-party marks and property require their own permissions. A Participant’s consent alone does not grant rights to those third-party assets.
Participants are responsible for obtaining permissions and satisfying applicable school, conference, athletic-association, sponsor-conflict, disclosure, and legal requirements. Varsity does not provide immigration, tax, eligibility, or legal advice or guarantee that a transaction preserves a Participant’s eligibility or complies with visa conditions.
As a condition of participation on Varsity, each Participant currently enrolled in college must promptly disclose every order received through the platform to the Participant’s school compliance office or other designated athletics administrator. Disclosures must be made in the manner and within the deadlines required by the school’s policies and the rules of the applicable conference, athletic association, or other governing body, including the NCAA, NAIA, NCCAA, NJCAA, or another applicable organization. Where the school permits consolidated reporting, an itemized report may be used, provided it meets all applicable deadlines and requirements. Material changes, cancellations, refunds, and compensation received must be accurately reflected as applicable.
Varsity’s requirement to disclose every platform order is a platform participation requirement; it does not represent that every governing body independently requires reporting of every small transaction. Participants must also make any required submissions to NIL Go or another applicable clearinghouse or reporting system, obtain any required review or approval, and maintain accurate records. Separately placed orders do not eliminate applicable requirements to aggregate related payments or agreements.
Participants remain responsible for completing these disclosures and may be asked to provide evidence of submission or required approval. Varsity does not report orders to a school or governing body on a Participant’s behalf unless Varsity expressly confirms a reporting service in writing. Platform registration, school-email verification, order completion, payment release, or a school’s sharing of Varsity information does not constitute NIL clearance or approval of a transaction.
4. Offers, requests, and acceptance
Each offer must accurately describe its price and deliverables. Video offers must clearly state a minimum duration; 30 seconds is recommended, but Participants may advertise a different minimum. A Participant must meet the minimum advertised for the accepted order.
Customers must identify the recipient, occasion, intended use, and requested details accurately. Avoid including sensitive personal information. A request is subject to Participant acceptance and the platform’s content rules. Do not request a specific calendar delivery date that conflicts with the disclosed deadlines unless the Participant explicitly agrees and the order records that agreement.
The order record preserves the offer, listed price, platform fee, requested use, and accepted instructions. Participants retain creative discretion within the accepted scope. They may not use that discretion to omit essential agreed deliverables, misidentify the recipient, or deliver less than the promised minimum. Exact word-for-word performance is required only when expressly accepted as part of a business script or other agreed scope.
Participants should clarify requests they cannot fulfill rather than accept and substitute a materially different service. Proposed changes to scope, rights, or price require affirmative agreement recorded before fulfillment. Varsity may review a transaction for payment administration without negotiating the parties’ endorsement deal.
5. Personal orders and permitted sharing
A personal order is for personal, noncommercial enjoyment by the purchaser and intended recipient. After payment and fulfillment, the Participant grants them permission to download, retain, privately share with family or friends, and post the delivered content on personal social-media accounts for noncommercial purposes, subject to these Terms.
The Participant retains copyright and other rights except the permissions expressly granted. Downloading a video does not transfer ownership of the Participant’s name, image, likeness, or copyright. Personal-use permission continues beyond the online hosting period; lawful downloaded copies can be kept indefinitely.
Personal orders may not be used in advertisements, paid placements, promotions, commercial campaigns, business marketing, resale, or any presentation implying a product, brand, business, political, or institutional endorsement that was not authorized. A customer cannot avoid the business category by placing a promotional order through a personal account, describing it as a gift, or posting it from an individual’s social account.
Do not edit or caption content to reverse its meaning, create a false statement, fabricate an endorsement, or misrepresent the Participant’s views. Technical resizing, accessibility captions, and similar presentation adjustments must preserve the substantive message. No voice cloning, synthetic performance, model training, or impersonation rights are granted by a personal booking.
6. Business endorsement orders
A business order is content requested to promote an identified brand, business, product, or service. Only Participants who opt into this category offer such services. The Participant sets the listed rate, deliverables, minimum duration, and offered usage terms.
The customer must identify the business and what it sells, supply the proposed script or brief, and disclose intended channels and uses. The Participant decides whether to accept the script and job. Acceptance does not authorize a business to require unlawful statements, invented personal experience, or claims inconsistent with the Participant’s honest views.
A Varsity business endorsement order covers production and delivery of the accepted promotional video for sharing on the identified brand’s own social-media channels within the published offer and these Terms. The order is not a broader sponsorship, appearance agreement or package of other services. It does not require the Participant to post on their own accounts. Other engagements or broader usage arrangements are outside the platform order.
The business may optionally provide its contact name, email, phone number or website and expressly consent to sharing those details privately with the booked Participant. Contact information is provided by the business; Varsity does not verify the contact’s authority or guarantee a response. This option does not disclose the Participant’s private contact information to the business.
If the parties wish to explore a larger partnership, they communicate and arrange it directly off-site. Varsity does not negotiate, draft, administer, collect payments for or guarantee performance of that separate arrangement. Those arrangements do not expand the deliverables of the Varsity video order or change its payment, cancellation and delivery rules.
The business may download and retain the delivered video for the permitted brand social sharing. The platform’s one-year hosting period governs availability of the hosted copy and does not itself define the duration of permitted use. Broader rights and third-party permissions are not granted merely by purchasing the video.
Both parties must comply with applicable advertising-disclosure and truthfulness requirements. The business is responsible for its script, product claims, and supplied materials; the Participant remains responsible for statements presented as their own knowledge, experience, or opinion. Neither party may knowingly make misleading claims or remove necessary disclosures. Use of school uniforms, logos, facilities, music, or other third-party material requires appropriate permission.
7. Prices and Varsity fees
For personal orders, Varsity adds a customer-paid platform fee equal to 20% of the Participant’s listed rate. For business endorsement orders, that fee is 30%. These are additions to the listed rate, not deductions from it. The customer sees the Participant’s rate, Varsity fee, and total before paying. Applicable taxes, if required, must be separately disclosed.
For a fully paid, completed, non-refunded order, the Participant’s gross earnings equal 100% of the accepted listed rate. Varsity bears ordinary payment-processing charges from its added fee. “100%” does not mean tax-free income, guaranteed earnings, or immunity from refunds, chargebacks, fraud reversals, or lawful withholding.
Participants may change future prices; changes do not alter accepted order prices. False discounts, misleading deliverables, and attempts to reclassify business promotions as personal purchases are prohibited. Varsity fee changes apply prospectively after appropriate notice and do not increase an existing order’s agreed fee.
8. Collection and conditional release of payment
Payment is collected through the designated payment provider. Its applicable account and payment terms also apply. Varsity does not describe the arrangement as legal escrow, a bank deposit, or an interest-bearing customer account.
After successful payment, funds designated for Participant earnings are not released to the Participant until the applicable completion condition is met. Payment-release eligibility occurs when the customer confirms receipt and completion, or when 48 hours have elapsed after the delivered content is accessible and the customer’s delivery notification has been dispatched, without a timely issue report or other release block.
A report submitted during the review window pauses release for review. Fraud concerns, provider disputes, identity issues, legal obligations, and unavailable or restricted funds may also block release. Actual bank arrival depends on provider settlement, verification, and payout timing; becoming eligible is not a guarantee of immediate bank receipt.
Automatic release does not waive rights that applicable law preserves. Varsity may investigate later claims and use available recovery or reversal mechanisms, but recovery after funds have been released is not guaranteed. We may not deduct unrelated amounts or impose arbitrary forfeiture merely because an account was suspended.
9. Acceptance and delivery deadlines
The Participant has a maximum of seven days after confirmed payment to accept or decline. After acceptance, the maximum delivery period is seven days. These periods can total up to 14 days from payment; they are not a promise of seven-day delivery from purchase.
Unaccepted requests that expire and requests declined before fulfillment are canceled with the paid booking amount and platform fee refunded to the original payment method, subject to the provider’s processing time. No gift-card or mandatory store-credit substitute is part of the launch model.
Accepted requests that become overdue are elevated for support review, with Participant funds held pending resolution. If the agreed work cannot be delivered, support may authorize a refund. A material extension requires the customer’s express agreement rather than a silent reset of the delivery deadline.
A corrupt, inaccessible, failed-processing, or review-pending upload is not delivery. The customer review window does not begin merely because the Participant clicks an upload button.
Optional rush videos must be explicitly offered and selected with a separately disclosed Participant surcharge. The applicable 20% personal or 30% business fee applies to the combined Participant rate and surcharge. Rush orders must be accepted within six hours of successful payment and delivered to the customer within 24 hours of that payment, including required review and dispatch. The deadline does not restart at acceptance. An unaccepted or undelivered rush order that misses its deadline receives a full refund of the order, including the rush charge and associated tax. Customers cannot cancel after acceptance merely because they changed their mind, but the missed-deadline remedy still applies. Standard orders keep their existing seven-day deadlines.
10. Customer cancellation and fulfillment issues
Customers may cancel before Participant acceptance. After acceptance, ordinary customer cancellation is unavailable because the Participant may have begun personalized work. This does not remove mandatory statutory cancellation rights, remedies for nonperformance, or the right to report a fulfillment problem.
Report the issue through the order or support ticket as soon as possible, preferably within the 48-hour delivery review window. Give a concise explanation and supporting information without sending payment credentials or sensitive tax documents.
Varsity reviews whether the delivered work meets the recorded offer and accepted request. Depending on the circumstances, support may request clarification, permit an agreed correction, or authorize a partial or full refund. A correction, extended deadline, or materially changed scope requires the appropriate party’s agreement. A purely subjective change of mind does not automatically entitle the customer to a refund, but missing essential instructions, an unmet advertised duration, or inability to access the delivery merits review.
Varsity’s platform-fee and payment decisions do not adjudicate ownership, licensing, or every dispute under a separate business endorsement agreement. A dispute involving business usage terms may require the parties’ advisers or an appropriate court. No provision limits a customer’s nonwaivable rights to contact their card issuer, payment provider, or regulator.
11. Delivery, download, and one-year hosting
Videos are delivered through an access-controlled order page with viewing and download options. A customer may download and retain their authorized copy indefinitely and share it as permitted by the relevant personal-use or business agreement.
Varsity provides online viewing and download access for one calendar year after delivery. After that period, Varsity reserves the right to remove and delete its hosted copy without providing indefinite archival storage. Download your video promptly and maintain your own backup. Expiration of a short-lived access link does not itself mean the stored video has been deleted; an authorized customer can request a fresh link during the hosting period.
We intend to send reminders before the hosting period ends. A missed reminder does not extend the period, and we will display the availability date in the order record. Content may be restricted sooner when required by law, a valid rights claim, security needs, or a confirmed content-policy violation. Where an early restriction affects a legitimate paid order, support will review an appropriate remedy rather than automatically deny assistance.
Restricted evidence may be retained longer for an active dispute, legal hold, or required recordkeeping. Online customer availability, backup deletion, and legal retention are different matters and will be described in the Privacy Policy. We will not claim that every backup is instantly destroyed when a hosted video is removed.
12. Content standards and enforcement
Requests and deliveries must not contain illegal material, profanity, pornography, sexual exploitation, credible threats, harassment, hateful attacks, fraud, impersonation, or comparable inappropriate material. Do not request wrongdoing, disclose private information without authority, or ask a Participant to violate rights, school requirements, or another binding obligation.
For confirmed violations of these content standards, the first violation results in suspension and the second in a ban. A suspension’s length and reinstatement conditions must be specified in the final enforcement policy. We may temporarily restrict access or content while investigating; a temporary protective restriction is not itself a finding of a confirmed violation.
A human reviews confirmed violations and enforcement, subject to actions legally required or urgently necessary for security. Users may request review through support. Enforcement does not automatically erase valid payment or refund claims, and a banned Participant is not automatically entitled to payment for prohibited or unfulfilled work.
Automated tools may help flag content; they can make mistakes. Varsity does not promise every prohibited request or delivery will be detected before it is viewed.
13. Intellectual property and platform permissions
Participants and customers must have the rights needed for the photos, scripts, names, logos, recordings, and other materials they submit. You grant Varsity the limited, nonexclusive permissions reasonably needed to store, process, format, display to authorized users, deliver, review, and support those materials and operate the corresponding order. Necessary service providers may exercise those permissions on Varsity’s behalf.
This operational permission does not authorize Varsity to use a private customer video in advertising. Public promotional use of a delivery, testimonial, or reaction requires separate appropriate consent. Public Participant profile information and authorized profile photos may be displayed to promote that profile within the marketplace.
Varsity’s own software, branding, and interface are not licensed for copying, resale, scraping, or reverse engineering beyond rights applicable law preserves. No purchase conveys ownership of Varsity’s platform. Report copyright, likeness, or other rights concerns through the legal contact listed in these Terms; include the relevant content location and basis for the claim.
14. Support and AI assistance
Varsity may use AI for informational support and routing. AI responses can be incomplete or mistaken and do not amend these Terms, grant endorsement rights, guarantee payment, or replace the recorded offer. Account-specific information requires appropriate authentication.
Unresolved issues are routed to a human through service tickets and email. Human support is asynchronous and is not promised around the clock. No fixed response-time promise applies until published. Refund approvals, material payment decisions, enforcement, and identity disputes receive human handling under the current operating model.
Do not send passwords, full card details, taxpayer identification numbers, or tax forms to support chat. Submit required financial and tax information through the authorized provider’s secure onboarding.
15. Privacy, payment verification, and tax information
Personal information is handled under the separate Privacy Policy. That policy must accurately identify processing purposes, service providers, retention, deletion, and available individual rights. These Terms do not replace it.
Participants must complete payment-provider identity, banking, and tax onboarding. We intend to use provider-hosted tax collection and reporting services rather than collect W-9 files or taxpayer identifiers through Varsity forms. The availability and scope of those services depend on account configuration and provider requirements.
Participants remain responsible for reporting earnings, paying all taxes legally owed and their own tax returns and legal obligations. They should consult a certified tax attorney or other appropriately licensed tax professional; obligations vary by state, residence and personal circumstances. Varsity revenue exports are not tax advice or a determination of taxable income. Varsity remains responsible for obligations applicable to it; using a provider does not automatically transfer every reporting duty. Neither Varsity nor the provider is promised to complete a Participant’s personal tax return.
16. Reviews, referrals, and marketplace integrity
Only authentic experiences may be represented as customer reviews. Do not submit fake purchases, undisclosed incentivized reviews, inflated credentials, misleading follower claims, or manipulated ratings. Clearly labeled fictional or AI-generated mock-up profiles are not real participating people.
Do not divert an accepted Varsity booking to another payment channel to evade its platform fee or security controls. This booking-specific restriction does not prevent nonexclusive Participants from operating their own businesses or pursuing unrelated work elsewhere.
17. Service limitations and accountability
Except for express commitments stated in these Terms, applicable order records, and nonwaivable legal obligations, the platform is provided without guarantees of continuous availability, earnings, marketing performance, audience response, or compatibility with every device. We will use reasonable operational measures for security and recovery but do not promise that an internet service cannot fail.
Third-party services have separate terms and may experience outages. Their involvement does not excuse Varsity from obligations it expressly undertakes or rights that applicable law preserves. Nothing states that Varsity can avoid all responsibility simply by calling itself a platform.
To the extent legally permitted, Varsity excludes liability for indirect or consequential losses and limits aggregate monetary liability arising from platform services to the greater of $1,000 or the total order amounts the claimant paid through Varsity in the preceding 12 months. This limit does not reduce refunds expressly owed, Participant earnings properly payable, or liability that cannot legally be excluded. It does not exclude fraud, willful misconduct, gross negligence where exclusion is prohibited, or other protected claims.
18. Third-party claims and indemnity
To the extent permitted by law, a business customer or Participant is responsible for third-party claims caused by their materially unlawful submissions, unauthorized commercial use, infringement, or materially false representations. This indemnity covers reasonable defense costs and losses attributable to that conduct, with prompt notice, reasonable cooperation, and no settlement imposing admissions or obligations on another party without consent.
This provision does not make a user responsible for claims caused by Varsity’s own unlawful conduct, negligence to the extent applicable law bars shifting it, or independent platform failures. A separate business agreement may allocate additional responsibilities between the business and Participant, subject to applicable law.
19. Changes, suspension, and termination
You may stop using the platform or pause Participant availability. Closing an account does not extinguish accepted orders, valid refunds, earned payments, applicable usage permissions, or required records. Support will explain how active orders are handled and allow access or an alternative delivery method when appropriate.
Varsity may restrict access for material breaches, confirmed policy violations, fraud, security threats, or legal requirements. We will provide notice and a review route when reasonably possible and lawful. Suspension does not grant Varsity an unrestricted right to confiscate balances or cancel a valid license unrelated to the breach.
Material updates to these Terms will be announced before they apply where required. We may require affirmative acceptance before new bookings. Changes do not retroactively expand commercial rights or impose a higher fee on an existing order without consent.
20. Governing law and disputes
The governing law is Delaware law, without displacing mandatory protections that apply to the user or transaction. The company’s Delaware formation does not by itself eliminate laws applicable where users live or where services occur.
First contact support with a description of the issue and requested resolution. The parties should attempt a good-faith resolution, but this request does not prevent urgent relief, a regulator complaint, a card dispute, or a filing needed to preserve a deadline.
The forum is the appropriate state or federal court in Delaware, subject to jurisdiction and nonwaivable consumer rights, with an exception for eligible small-claims proceedings in a court otherwise permitted by law. These Terms do not impose mandatory arbitration, waive a jury, or waive class proceedings.
21. General provisions and contact
These Terms, the Privacy Policy where applicable, and the recorded booking govern the platform transaction. A separate business endorsement agreement governs the rights and obligations it expressly creates between business and Participant, but cannot authorize unlawful content or override Varsity’s disclosed platform fee without Varsity’s consent.
If a provision is unenforceable, the rest remains effective to the extent permitted by law. Failure to enforce a provision on one occasion is not a permanent waiver. Neither party may assign an order or expand rights in a way that defeats the other party’s agreed scope. Any permitted assignment remains subject to existing obligations and applicable law.

22. Varsity Club and account closure
Monthly Varsity Club memberships are subject to the separate Varsity Club Membership Terms, version varsity-club-2026-10-20-v2. Those terms govern recurring consent, benefits, cancellation, paid-period access, content permissions and period-completion payments. The general 48-hour personal-order release rule does not govern memberships.
Users may request account closure through account settings. New sales and offers stop; recurring renewals are canceled. Existing orders, paid membership periods, refunds, payment disputes and lawful earnings obligations must be settled before full closure. Users should download personal videos and revenue reports first. Closing an account does not instantly delete required financial, tax, safety or legal records. Privacy/deletion requests may be made through support under the Privacy Policy.
Optional aggregate browsing analytics require the displayed choice and can be disabled through Analytics preferences. Account, order and payment records needed to operate and reconcile the service remain separate from optional browsing analytics.
